We offer you a stable working hours with a famous Hong Kong Listed Company. Being the team leader of the Company Secretary team, you will responsible for leading the team and handle the entities under the Holding Company.

Our client is a Hong Kong Listed Company with businesses across Property, Hotel Operation, Logistics and Retail. We are hiring an independent candidate who has experience in acting as a Named to join our team and managing the portfolios under the Group.
Description
Corporate Governance:
- Ensure the company complies with all applicable laws and regulations.
- Advise the board on governance matters and provide guidance on best practices.
- Facilitate the induction of new directors and maintain an up-to-date record of board members.
Board Support:
- Organise and attend board meetings, ensuring that meetings are run effectively and efficiently.
- Prepare meeting agendas, minutes, and reports, distributing them to board members in a timely manner.
- Act as a point of contact for board members regarding corporate governance issues.
Compliance and Filings:
- Ensure timely and accurate filing of statutory documents with regulatory authorities.
- Maintain the company's statutory registers and records, ensuring they are up-to-date and compliant with legal requirements.
Communication:
- Serve as a liaison between the board, management, and external stakeholders.
- Manage shareholder communications and ensure that all shareholder queries are addressed appropriately.
Risk Management:
- Assist in identifying areas of risk and develop appropriate strategies to mitigate them.
- Monitor compliance with company policies and procedures, reporting any breaches or issues to the board.
Strategic Input:
- Contribute to the development of corporate strategies and policies, providing an independent viewpoint regarding the governance framework.
- Support the board in decision-making processes and ensure that decisions are recorded appropriately.
Profile
- Fellow or Associate member of HKCGI/CGI with a university degree.
- A minimum of 5 years of substantial experience as a named company secretary for listed companies in Hong Kong.
- Strong interpersonal and communication skills, along with abilities in coordination, organization, and administration. Self-motivated with a solid sense of accountability.
- Skilled in managing and prioritizing multiple high-level projects, with keen attention to detail and the ability to excel in a fast-paced, demanding work environment.
- Capable team leader committed to delivering quality work, meeting deadlines, and effectively supervising team members.
- In-depth knowledge of current Listing Rules, Companies Ordinance, Takeover Codes, Securities and Futures Ordinance, and other statutory and compliance regulations.
- Familiarity with corporate governance and corporate transactions.
- Proven ability to lead a team with a strong sense of responsibility.
- Detail-oriented with the ability to work independently and adapt to changing priorities.
- Proficient in Microsoft Office applications, including Excel, PowerPoint, Word, and Outlook.
- Proficiency in both English and Chinese.
